Club Status & Rules
Modified and Adopted Status on November 30th, 2004
DURATION – DENOMINATION – OBJECT – SEAT :
Article 1:
This status was created, according to the law Nº 492 of January 3rd 1949, for the duration of 99 years, for an association named:
MONACO AMBASSADORS CLUB
which will be managed by disposition of this status.
Article 2 :
This Association is open to people of all origins, cultures and religions. It particularly welcomes Monegasques or Residents of Monaco who are interested in international affairs.
It aims to give the Principality a permanent and prestigious international vantage point, especially in European, Transatlantic, and Mediterranean dimensions.
1. The Association creates a privileged bond between Monaco and foreign countries.
2. It contributes in the universal ranking of the Principality, in part by the international promotion of the foreign communities installed in Monaco.
3. It is a place where you can meet individuals of the diplomatic, political, cultural, sport and business spheres.
4. It gives the Monaco business community the opportunity to meet and make contact with high international authorities.
5. The Association informs foreign individuals of Monaco's lifestyle and events, and trusts them with the mission of being Ambassadors of the Principality.
6. It organizes gatherings with other similar foreign associations in order to develop and stimulate its activities.
7. It creates and organizes activities and events that contribute to the prosperity and prestige of the Principality.
Article 3 :
The social seat of the Association is in Monaco. It can be located in any part of the territory belonging to the Principality according to the decision of the Administration Council.
Article 4 :
The Administration Council, via intermediary of its President, solicits high authorities, Monegasques and foreign, to be part of the Honor Committee.
The nomination of Members of the Honor Committee has no time limit. The Members of the Honor Committee bring their moral support to the Association's actions. They hold no responsibility for its functions and do not pay for their membership.
Article 5 :
The Administration Council approaches the heads of diplomatic missions, as well as high level authorities of international organizations, from Paris, Brussels, Geneva, Bern, Rome - and others - and offers them the position of Honorary Membership.
The Honorary Members have access to all of the Club's activities to which they wish to lend their support. They are not responsible of the Club's function.
Article 6 :
The Active Members of the Association are physical and moral persons. They participate in the life of the Association, and, as a whole, compose the General Assembly.
To become an Active Member of the Association, a written request has to be addressed to the President, and the approval of the Administration Council must be given.
For the admission of a new Active Member, the decisions of the Administration Council are irrevocable and do not need to be motivated.
Article 7 :
The Active Members who support the Association financially, beyond their membership fee, may be given the title of Benefacting Member by the Administration Council.
Article 8 :
The position of Active Member in the Association may be lost by resignation or exclusion. The resignation must be supplied in written form. The person wishing to resign is responsible for its submission.
Article 9 :
The exclusion of a Member of the Association can be executed for non payment of the annual fee (after a reminder had been sent in written form), non observation of the status, or for severe actions after being formally notified. An attorney of law can be hired in order to investigate this. Beforehand, the Member in question should be allowed to explain themselves, or be called to do so.
This decision can be appealed in front of the General Assembly.
The resignation or exclusion of Active Members still must pay the annual members fee for the year currently in progression. They lose their rights regarding the Association and cannot demand any reimbursement.
Article 10 :
The annual fees for all participating Members, are fixed by the Administration Council.
The fees must be paid in the first month of each year. For members admitted during the progression of the year, the fee remains the complete amount for the full year.
Article 11 :
The Association is administrated by the Administration Council, which has extensive power over the Club. It is composed of members chosen exclusively from the present and participating Members, who enjoy their civil rights and are residents in Monaco.
Representatives from France and Italy living in Monaco are part of the Administration Council as consultants.
Article 12 :
Members of the Administration Council are elected in a secret ballot by the General Assembly of the Association, with the majority at the second round.
At the moment of the nomination of each member of the Administration Council, the General Assembly is at liberty to decide the duration of their mandate.
Members finishing their time in the Administration Council are eligible to be renominated again.
Article 13 :
The Administration Council, via intermediary of its President, may, throughout the course of the year, recruit new members, as long as they have been approved of and the duration of their mandate is fixed at the next General Assembly.
Article 14 :
The Administration Council chooses amongst its statuary members :
1. A President is given the mission of representing the Association in all of their actions in their civil life. He is responsible for everyday management of the Club and the execution of the decisions taken by the Administration Council.
2. A General Secretary who is charged with helping the President in their functions and to oversee the administration work, in particular the report of verbal processes, the correspondences and the convocations.
3. A Treasurer who manages the accountancy of the income and the spending. At the end of each year they must submit a financial report
The President, General Secretary and Treasurer are elected to their functions by the Administration Council for the duration of their mandate as members of the Administration Council.
Article 15 :
The Administration Council can give out the power that they find appropriate to one or several members, or committees, or to commissions, for any determined reasons.
The Administration Council handles the remunerations or indemnities of these members for the services they have rendered or the expenses which they have occurred.
Article 16 :
The Administration Council meets by the written or verbal consent of its President as often as the Association requires it.
For the validity of its deliberations, the presence of two members is necessary. The decisions are taken according to the majority; in case of an equal amount of votes, the vote of the President takes priority. There is no representation.
The verbal processes are written down during the meetings. They are then signed by the President and the present members.
Article 17 :
The regularly constituted General Assembly of Active Members represents the supreme power of the Association.
The General Assembly meets at least once a year by the written demand of the President of the Association. The President notifies the Active Members of the Club at least 15 days before the General Assembly.
By right, propositions written to the President are addressed that day. They must be received by the President at least 8 days before the day of the General Assembly.
Article 18 :
The Assembly is directed by the President of the Administration Council, and is assisted by two members proposed to him by the Administration Council.
Article 19 :
To have a valid deliberation, the General Assembly must be composed of at least one-fifth of the Active Members of the Association, who are up to date with the payment of their fees (members both present and represented).
If these conditions are not met, the General Assembly is called to meet again, and the deliberations are valid no matter how many members are present. However, the objects discussed may only be those mentioned in the first reunion.
Article 20 :
The General Assembly does the following :
1. Nominates members of the Administration Council of the Association and fixes the duration of their mandate.
2. Listens to the reports of the management of the Administration council, and to the financial and moral situation of the Association.
3. Is knowledgeable of all of the affairs that might interest the position of the Association. At this effect, it deliberates and announces its decision on all of the propositions which were discussed that day.
In occurrence that one of its members puts forth a topic which is not scheduled to be discussed during this reunion, the General Assembly may refuse its discussion or demand that the Administration Council supplies a report on the matter.
Article 21 :
The deliberations of the General Assembly are made by the majority of votes from the Active Members, present or represented. Every Active Member of the Association who is up to date with the payment of their annual fees has the right to vote. Thus, every Active Member has a representation.
Votes are expressed by a show of raised hands, unless a secret ballot is asked for.
In case of an equal amount of votes, the President's vote takes priority.
Members who are unable to assist in the General Assembly can give another member, present at the reunion, the power to represent their vote and do so on their behalf. Each member can carry out a maximum of two votes.
A written report of the verbal proceedings is taken, signed by the President and those present.
Article 22 :
The present status may be modified by a proposition of the Administration Council. This may be done by a vote of the General Assembly, with the majority of the members present, and with two-thirds of the Active Members present voting in favor.
Article 23 :
Dissolution can be held when :
1. The Association has no more reason to exist
2. When such a decision is made by the General Assembly.
Dissolution can only be pronounced by the General Assembly if it is composed of at least a third of the Active Members of the Association, and two-thirds of the members present have voted for dissolution.
Article 24 :
In the case of dissolution, the assets of the Association should be liquidated, either by the General Assembly, or by persons assigned specifically to do so.
The goods remaining should be donated to a charitable organization in the Principality.
Article 25 :
All unanswered cases in regards to the status are made by the Administration Council.
